Overview

Entity Management systems, also called Corporate Governance systems, are utilized by those supporting the Corporate Secretary function (usually within the legal department) to track vital information regarding the corporation and its related legal entities. Sometimes, these systems are interfaced with a department's matter management system to share entity information. Other times, they are implemented as stand-alone systems.

Many systems interface with document assembly software so that routine documents can be created quickly and efficiently. Some systems allow for publication of limited data in a read-only format on a web-platform for ready access by key members in Tax, Executive Management, and other departments. Many systems allow for the creation of corporate organization charts or the export of information to corporate chart software.

An Entity Management system can track, search and report on the following key information:

  • Officers and Directors
  • Incorporation and Qualifications
  • Corporate histories including name changes, acquisitions, mergers and dissolutions
  • Stock-related information
  • Articles of Incorporation
  • By-Laws
  • Minutes
  • Subsidiaries and affiliate entities
